These Terms and Conditions ("Terms") govern your access to and use of the Hoogah platform, website at hoogah.co, and related services (collectively, the "Service"). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Hoogah," "we," "our," or "us" refers to the Hoogah platform and its operators.
- "Event Organizer" refers to any person or organization that uses Hoogah to facilitate networking at their events.
- "Attendee" refers to any person who participates in an event using the Hoogah platform.
- "User" refers to any Event Organizer or Attendee who accesses the Service.
2. Eligibility
You must be at least 18 years old to use Hoogah. By using the Service, you represent that you meet this requirement and have the legal authority to enter into these Terms.
3. Account Registration
- Event Organizers must create an account to use the platform.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must provide accurate and complete information during registration and keep it up to date.
4. Use of the Service
Permitted Use
You may use Hoogah to:
- Facilitate intentional networking at events, conferences, and training programs.
- Collect attendee information through pre-event questionnaires for the purpose of AI-powered matching.
- Access analytics and insights about event networking outcomes.
Prohibited Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to reverse-engineer, decompile, or extract the source code of any part of the Service, including our matching algorithms.
- Scrape, harvest, or collect data from the platform through automated means without our written consent.
- Impersonate another person or misrepresent your affiliation with any entity.
- Upload or transmit malicious code, spam, or any content that could harm the Service or other users.
- Use attendee data collected through Hoogah for purposes other than the event for which it was collected, unless you have obtained separate consent from those attendees.
- Resell, sublicense, or redistribute the Service without our written permission.
5. Event Organizer Responsibilities
- You are responsible for ensuring that your attendees are informed about how their data will be used through Hoogah.
- You must obtain any necessary consents from attendees before submitting their information to the platform.
- You are responsible for the content and accuracy of any event information you provide.
- You agree to use the attendee matching and icebreaker features in good faith, for the purpose of facilitating genuine professional connections.
6. Attendee Responsibilities
- You agree to provide truthful responses to pre-event questionnaires.
- You agree to engage respectfully with matched conversation partners.
- You understand that Hoogah facilitates introductions but does not guarantee specific outcomes from any pairing.
7. Fees and Payment
- Pricing for Event Organizers is as listed on our pricing page or as agreed in a separate contract.
- All fees are due in advance of the event unless otherwise agreed in writing.
- Payments are processed through third-party payment providers. By making a payment, you also agree to their terms of service.
- Refunds are handled on a case-by-case basis. Contact us at hello@hoogah.com for refund requests.
8. Intellectual Property
- The Hoogah platform, including its design, algorithms, branding, content, and technology, is owned by Hoogah and protected by intellectual property laws.
- You retain ownership of any content you submit to the platform (e.g., event details, attendee responses).
- By submitting content, you grant Hoogah a non-exclusive, worldwide license to use that content as necessary to provide the Service.
- You may not use the Hoogah name, logo, or branding without our prior written consent.
9. AI-Powered Features
- Hoogah uses artificial intelligence to match attendees and generate personalized icebreakers based on questionnaire responses.
- AI-generated content (icebreakers, conversation prompts) is provided as suggestions. We do not guarantee that every match or icebreaker will result in a meaningful connection.
- We continuously improve our algorithms but make no warranty that the matching system will be error-free.
10. Limitation of Liability
To the maximum extent permitted by law:
- Hoogah is provided "as is" without warranties of any kind, express or implied.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total liability for any claim related to the Service shall not exceed the amount you paid to Hoogah in the 12 months preceding the claim.
- We are not responsible for the conduct of any Event Organizer, Attendee, or third party on or off the platform.
11. Indemnification
You agree to indemnify and hold Hoogah harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
- You may stop using the Service and close your account at any time by contacting us.
- We reserve the right to suspend or terminate your access if you violate these Terms or use the Service in a manner that could harm Hoogah or other users.
- Upon termination, your right to use the Service ceases immediately. Sections that by nature should survive termination (including Limitation of Liability, Indemnification, and Intellectual Property) will continue to apply.
13. Changes to These Terms
We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Service will be resolved through good-faith negotiation first, and if necessary, through binding arbitration or the courts of competent jurisdiction.
